Terms and Conditions for Event Organizers

Preamble

These General Terms and Conditions (T&C) govern the use of services provided by Nightowl UG (haftungsbeschränkt) for event organizers.

1. Scope

These T&C apply to all contracts between

(hereinafter referred to as “NIGHTOWL”) and event organizers (hereinafter referred to as “Organizer”) who use the NIGHTOWL platform for ticket sales and event management.

2. Subject of Contract

2.1 NIGHTOWL provides the Organizer with an online platform where they can:

• Create and manage events
• Sell tickets
• Perform entry controls
• View analytics and statistics

2.2 Use of the platform requires registration by the Organizer.

2.3 NIGHTOWL assumes no obligation for the execution or success of the Organizer’s events.

3. Registration and Contract Formation

3.1 By registering, the Organizer submits a binding offer to enter into a user agreement.

3.2 The contract is formed when NIGHTOWL activates the Organizer’s account.

3.3 The Organizer guarantees that all information provided is correct and complete.

4. NIGHTOWL Services

4.1 Ticketing System

• Provision of a ticket sales platform
• SEO-optimized ticket shops
• Multiple ticket phases and price categories
• Discount code management

4.2 Event Management

• Dashboard for event management
• Real-time analytics and statistics
• Guest list management
• Virtual box office

4.3 Entry Control

• Mobile scanner app (iOS/Android)
• Offline functionality
• Real-time ticket verification

4.4 Support

• 24/7 technical support
• Support for organizers and ticket buyers

5. Organizer Obligations

5.1 The Organizer commits to:

• Provide correct and complete event information
• Comply with all legal requirements for their event
• Keep access credentials confidential
• Not misuse the platform

5.2 The Organizer is solely responsible for conducting their event.

5.3 The Organizer indemnifies NIGHTOWL against all third-party claims arising from the event.

6. Fees and Payment

6.1 Use of the platform is generally free for organizers.

6.2 A service fee of 3.5% + €0.75 per ticket applies to each ticket sold, borne by the ticket buyer.

6.3 The Organizer receives ticket sales revenue minus payment service provider fees.

7. Payouts

7.1 Payouts are made automatically after the event to the bank account registered by the Organizer.

7.2 The Organizer can request advance payouts at any time.

7.3 After the event concludes, remaining funds are automatically transferred.

7.4 Payouts occur within 7 business days after the event or after approval of an advance payout.

8. Cancellation and Refunds

8.1 The Organizer is responsible for their ticket cancellation terms.

8.2 If the Organizer cancels an event, ticket buyers must be informed and tickets refunded.

8.3 NIGHTOWL supports the technical processing of cancellations.

9. Data Protection

9.1 NIGHTOWL processes personal data in accordance with the General Data Protection Regulation (GDPR).

9.2 All data is stored on servers in Germany.

9.3 Detailed data protection information can be found in the Privacy Policy.

10. Liability

10.1 NIGHTOWL has unlimited liability for damages resulting from injury to life, body, or health.

10.2 In cases of slight negligence, NIGHTOWL is only liable for breach of essential contractual obligations.

10.3 Liability for indirect damages, consequential damages, and lost profits is excluded.

11. Term and Termination

11.1 The contract is concluded for an indefinite period.

11.2 Both parties may terminate the contract with 4 weeks’ notice to the end of the month.

11.3 The right to extraordinary termination remains unaffected.

12. Changes to T&C

12.1 NIGHTOWL reserves the right to change these T&C with 4 weeks’ notice.

12.2 If the Organizer does not object within the period, the amended T&C are deemed accepted.

13. Final Provisions

13.1 The law of the Federal Republic of Germany applies.

13.2 Place of performance and jurisdiction is NIGHTOWL’s registered office.

13.3 Should individual provisions of these T&C be invalid, the validity of the remaining provisions remains unaffected.
